Analyst Report: SKYD
1. EXECUTIVE SUMMARY
Skydance Corporation fell 23.84% on Wednesday October 14, 2026, to $7.06 from $9.27, because the 470.7M warrants distributed to Class B holders began trading separately and their value left the share price. Motley Fool and the SEC Form 8-K Exhibit 99.3 describe the drop as a mechanical reset. StreetInsider and TipRanks reported combined equity value across shares and warrants as unchanged at about $46.6bn. The S&P 500 fell 1.11% in the same session, while Netflix (+0.16%) and Disney (+0.38%) held up, so the move belongs to the stock alone. The shares traded at a 52-week low of $6.63 intraday on 4.51 times average volume. The more durable questions are the roughly $80bn of pro forma net debt after the Warner Bros. Discovery deal and the pace at which warrants are exercised.
2. THE CATALYST
The warrants carry a $12 exercise price and expire in 2036. They went to holders of about 9% of Class B stock, a figure that rests on StreetInsider's share count (see the conflict note below). The distribution was tied to the close of the Warner Bros. Discovery acquisition on October 6. Per the 8-K and StreetInsider, the warrants began trading as SKYD WS on October 13, and October 14 was the ex-date.
TipRanks reported that the NYSE lowered the reference price the evening before, using the warrants' $2.20 close, so part of the adjustment preceded the October 14 session. StreetInsider put the warrant value at about $1.0bn. Exercise of all warrants would bring the company roughly $5.7bn and raise the share count by about 10% (StreetInsider; Motley Fool). Wells Fargo called the distribution the "final step" in closing the Warner Bros. Discovery deal (Fox Business, citing Variety).
| Date | Close | Change | Volume |
|---|---|---|---|
| 2026-10-13 | $9.27 | +1.20% | 26,585,800 |
| 2026-10-14 | $7.06 | -23.84% | 92,200,100 |
Only the October 14 session carries this catalyst. TipRanks and a Yahoo Finance headline cite index-linked selling as a secondary factor, and no other source in the brief confirms it. A Deadline headline tied part of the session to inflation and rate worries, which I could not verify.
Share counts conflict. Variety, via Ad-hoc News, puts Class B at about 1,093M shares as of October 2, while StreetInsider puts it at about 5bn. The dilution arithmetic should be checked against the 8-K before it is relied on. Outlets also quoted intraday declines between about 16% and 28.5%; this report uses the official close only.
3. COMPANY PROFILE
Skydance Corporation is a media and entertainment company in the Communication Services sector, with Studios, Direct-to-Consumer and TV Media segments. Its assets include the CBS Television Network, CBS Stations, international free-to-air networks such as Network 10 and Channel 5, cable brands including Nickelodeon, MTV and Comedy Central, and Paramount+ with SHOWTIME. Competitors in Movies & Entertainment include Netflix, Disney, Live Nation and TKO. Market capitalisation is $35.60bn, forward P/E is 24.3 and the dividend yield is 2.16%.
The Warner Bros. Discovery deal closed on October 6. Management targets at least $6bn of run-rate synergies within three years, net leverage of 3.0x by end-2029 and more than $10bn of free cash flow by 2030 (Benzinga; Ad-hoc News). Planned moves include combining HBO Max with Paramount+ and a slate of about 30 theatrical films a year (Fox Business; Benzinga). In the quarter reported on August 4, revenue was $6.91bn and diluted EPS was $0.04 (Ad-hoc News).
4. DEEP DIVE ANALYSIS
The fall mostly transfers value from the shares to a separate security. With combined share and warrant value reported unchanged at about $46.6bn, the October 14 drop says little about the business. The warrant's $2.20 close on October 13, set against the $2.21 gap between $9.27 and the roughly $7.06 close, shows how much of the move the warrant value could explain, though the brief does not give a precise reconciliation, so that comparison is inference.
The earlier slide is less well explained. The stock closed at $11.14 on September 16 and $9.34 on October 1 after a 9.58% fall, and the brief finds no sourced catalyst for the early-October selloffs. Barclays cut its target from $8 to $7 on October 7 (Benzinga; GuruFocus), a session in which the shares fell 6.72%.
Analyst positions
| Firm | Rating | Target |
|---|---|---|
| StoneX | Buy | $11 (cut from $16; reported dated October 12 or 13) |
| Citizens | Market Outperform | $14 |
| UBS | Sell | $8 |
| Barclays | Underweight | $7 (cut from $8) |
Consensus is Hold, with an average target of $9.42 on one aggregator and $10.21 on TipRanks. Simply Wall St trimmed its fair value from $9.81 to $9.42 after the close on October 14, which reacts to the move and did not cause it.
Bull case: Synergies of $6bn and free cash flow above $10bn by 2030 would cut leverage steadily, the combined streaming service gains scale, and the warrant exercise would bring in about $5.7bn.
Bear case: Pro forma net debt is about $78.9bn per 24/7 Wall St, or roughly $80bn against an expected $11.2bn of adjusted EBITDA per Motley Fool. The bear view holds that debt service and dilution absorb most near-term cash and synergies (Investing.com). The 10% potential share count increase adds to that pressure. The brief found no prior warrant distribution by this company to use as a comparison.
5. TECHNICAL SNAPSHOT
The $7.06 close sits below the 50-day average of $10.02 and the 200-day average of $10.29, and the shares are down 45.65% year to date. The intraday low of $6.63 is the new 52-week low, set against a high of $17.36 a year earlier. Volume of 92,200,100 was 4.51 times the 50-session average of 20,444,986. The latest close is the lowest in the daily table, so there is no earlier close to name as support; $6.63 is the intraday low. The nearest resistance is the $7.60 open, with the $8.89 close of October 7 above it.
6. RISK FACTORS
- Warrant exercise pace and the dilution it brings, with the share count question unresolved.
- Leverage of roughly $80bn net debt against $11.2bn of expected adjusted EBITDA.
- Integration risk in combining HBO Max and Paramount+ and in delivering $6bn of synergies.
- Index-linked selling, unconfirmed, which could continue to pressure the shares.
- Macro sensitivity to inflation and rates, an unverified overlay.
The next earnings report is dated November 9 in the facts, with EPS estimated at $0.16 and revenue at $7.58bn. MarketWatch, via Ad-hoc News, gives November 16, so the date needs confirming.
7. ACTIONABLE OUTLOOK
Short term (1-2 weeks): The reset is complete, so price action turns on how the shares and the SKYD WS warrants trade after the ex-date. Holding above the $6.63 low would show buyers absorbing the volume; a break below it would extend the slide that started in September.
Medium term (1-3 months): The November earnings report, whichever date holds, is the first full test of the combined company against the $0.16 EPS and $7.58bn revenue estimates. Early evidence on synergies and debt reduction would support the StoneX and Citizens targets of $11 and $14, while weak cash generation would favour the UBS and Barclays targets of $8 and $7.
Long-term thesis: The warrant distribution leaves the combined value of the company unchanged, so the thesis rests on the same question as before: whether synergies and free cash flow reduce the debt load to 3.0x by end-2029. This analysis is not personal financial advice.
